Terms of Service

1. Purpose and Service

These Terms govern your use of Shadowing.tv (the "Service"), a learning tool in which the operator uses production tools, including LLMs, to create videos, publishes them on the operator's YouTube channel, embeds them in the Service, and enables users to repeat sentences from the videos and receive AI pronunciation assessments.

Users do not connect videos to the Service or create, edit, or publish lessons. The videos, scripts, and sentence-level learning materials displayed in the Service are produced and provided by the operator.

The Service is operated under the Shadowing.tv brand by GUDOC Co., Ltd. (주식회사 구독), a company incorporated in the Republic of Korea (representative: Kim Jung-woong; business registration no. 113-86-88500; online sales registration no. 2016-Seoul Guro-0496). By signing up for or using the Service, you agree to these Terms and the Privacy Policy.

2. Accounts

Sign-up is via Google account login. You must be at least 14 years old.

A minor may need consent from a legal representative to purchase paid services. Without that consent, the contract may be canceled as permitted by applicable law.

Your account is for your personal use only, and you are responsible for activity under your account.

3. Pronunciation Assessments

Pronunciation assessment access is shown and deducted as "assessments" (scoring one sentence = 1 assessment). Assessments can only be used for Shadowing.tv's pronunciation assessment feature. They are not a payment method or virtual currency, cannot be redeemed for cash, and cannot be transferred or traded between users.

· Free or promotional assessments remain available without an expiration date unless the grant screen states otherwise.

· Subscription assessments are granted each billing cycle and expire at the end of that cycle if unused.

· Subscription assessments are used first. Once depleted, the general balance combining free grants and one-time purchases is used.

· The welcome benefit displayed at signup is granted once to each new account. Future changes to the benefit do not affect assessments already granted.

· The open-beta participation bonus is granted once per account after all displayed time, practice, and feedback requirements are met. Rewards may be withheld for duplicate accounts, automation, or other abuse.

4. Payments and Subscriptions

Paid checkout is currently in preparation and will open at the official launch. This section and Section 5 (Withdrawal and Refunds) apply from the time payments open.

Our order process will be conducted by our online reseller Paddle.com. Paddle.com will be the Merchant of Record for all our orders. Paddle will handle payment processing, taxes, buyer support, and refunds, and the Paddle Buyer Terms will also apply.

Subscriptions renew and are charged automatically at the interval selected at checkout. The price, billing interval, included assessments, and any bonus conditions are shown before purchase confirmation.

Amounts shown in the Service are USD base prices. Paddle Checkout calculates the payment currency and inclusive or additional tax treatment for the buyer's location, and displays the final total before purchase confirmation.

Canceling stops the next charge. Access continues until the end of the current billing cycle, when remaining subscription assessments expire.

If a recurring price increases or a free offering converts to a paid subscription, we will obtain advance consent and explain cancellation methods and effects as required by applicable law.

5. Withdrawal and Refunds

Once payments open, all withdrawals and refunds are governed by Paddle's Refund Policy and mandatory consumer-protection law in the buyer's country of residence. Where applicable law provides more favorable rights, those rights prevail.

Consumers residing in South Korea may cancel a digital content or service contract within 7 days of the Transaction and request a full refund under Paddle's Refund Policy and applicable law. Consumers elsewhere receive the regional periods and statutory rights described in Paddle's Refund Policy.

Paddle reviews refund eligibility and amounts based on transaction records, Product usage, and applicable law. Transactions may be non-refundable except where required by law or provided under Paddle's Refund Policy.

Request a refund using the 'View receipt' or 'Manage subscription' link in your Paddle receipt, or through Paddle Buyer Support. Approved refunds are returned to the original payment method where possible. Remaining assessments supplied by the refunded Transaction are removed and the related access ends.

6. Usage Limits

Limits may apply to assessments per account, recording file size, and storage capacity to maintain stability and prevent abuse. Current limits are displayed in the Service.

For signed-in users, only the latest voice recording per sentence is retained in the browser and private server storage and is deleted after 90 days, as further described in the Privacy Policy. Guest audio is not stored.

We will give advance notice of a materially adverse limit change affecting paid use and preserve cancellation or refund rights required by law.

7. Service Content and Permitted Use

Rights in the videos, scripts, translations, pronunciation guides, designs, and other learning content provided by the Service belong to the operator or the applicable rights holder.

You may use the content only for personal, non-commercial learning through the Service. You must not copy, distribute, sell, retransmit, or bulk-extract content without permission.

YouTube's Terms of Service also apply to playback of YouTube videos within the Service. By using the Service, you agree to be bound by those terms.

We may modify, replace, or remove videos or lessons for production or editorial reasons, rights issues, YouTube policies, or operational needs. If this materially affects paid use, we will provide a reasonable alternative or a remedy required by law.

8. Prohibited Conduct and Restrictions

You must not make mass automated requests, fraudulently obtain assessments, exploit vulnerabilities, use another person's account, copy or distribute content without permission, or infringe third-party rights.

If a violation is confirmed, we may notify you of the conduct and reason and restrict access to the extent necessary. We may restrict first and notify afterward when necessary to prevent a security breach, comply with law, or prevent urgent harm.

You may contact us to explain your position or challenge a restriction.

9. Changes and Liability

The Service is a learning aid. We do not guarantee learning outcomes or complete accuracy. Videos, scripts, translations, and pronunciation guides produced with tools such as LLMs, as well as AI assessment results, may contain errors and should be used as learning references.

We may change or discontinue the Service. We will give reasonable advance notice of changes or discontinuation materially affecting paid use and handle any unprovided portion as required by law.

We are not liable for loss caused by force majeure or failures of external services outside our reasonable control to the extent we are not at fault.

Nothing in these Terms excludes liability for our intent or gross negligence or any liability that cannot be excluded under applicable law.

10. Account Deletion

You may delete your account at any time. Account information and learning records are handled as described in the Privacy Policy, and re-registration with the same Google account may be restricted to prevent abuse.

Deleting your account immediately cancels any active subscription and removes all assessments. Complete any refund process before deletion. Account deletion does not waive refund rights provided by applicable law.

11. Changes to Terms and Disputes

We generally announce changes and their reasons at least 7 days before they take effect. Changes that are adverse or materially affect user rights or obligations are generally announced at least 30 days in advance and individually notified by email or a similar method.

If you disagree with revised Terms, you may delete your account or terminate the agreement before they take effect. Changes requiring separate consent under law will apply only after consent is obtained.

These Terms are governed by the laws of the Republic of Korea. Lawsuits must be filed in a court having jurisdiction under applicable procedural law.
